THE WHAT? Johnson & Johnson has announced the preliminary results of its Kenvue share exchange offer. The US health care firm intends to accept 190, 955,436 of the tendered shares in exchange for the 1,533,830,450 shares of Kenvue common stock it owns.

THE DETAILS Following the completion of the exchange offer, Johnson & Johnson’s will retain approximately 9.5 percent of the outstanding shares of Kenvue common stock.

THE WHY? The exchange offer was launched following the spin-off of JnJ’s former consumer health unit and was oversubscribed so Johnson & Johnson is only accepting a portion of the shares of its common stock on a pro rata basis in proportion to the number of shares tendered.
